Every society must answer three practical questions: who will produce the goods and services people need, how will the resources for production be assembled, and who will bear the risks when an enterprise succeeds or fails? The study of business organization is, fundamentally, the study of the different institutional answers to these questions.
This book grew out of many years of teaching Business Organization to undergraduate students in commerce and management. Too often, the subject is presented as a catalogue of definitions, features, merits and demerits to be memorised for examinations. This approach may help students recall information, but it does little to develop an understanding of why different forms of business organization exist or when one form may be more appropriate than another.
The central principle of this book is therefore understanding rather than memorisation. Before examining the features of a partnership, company or cooperative, the reader is introduced to the business problem that the form is designed to solve. Comparisons are used throughout because no form of organization can be fully understood without considering the alternatives available to entrepreneurs and managers.
What This Book Contains
The book is organised into four broad parts. The first develops the foundations of business activity, enterprise formation and the business environment. The second examines major forms of business organization, from sole proprietorship and partnership to companies, cooperatives and multinational enterprises, and provides a framework for choosing among them. The third explores the internal organization of enterprises, including authority, delegation, structures, location, layout, mergers and acquisitions. The final part introduces key functional areas such as finance, financial markets, marketing, human resources, risk management and insurance, and concludes with ethics, corporate governance and sustainability.
The book also includes a glossary, comparative revision tables, project and field-work guidance, model examination questions and a select bibliography.
The book draws on widely recognised principles of business and corporate law, with references to national legal systems where they help illustrate important differences. Because laws, regulations, thresholds and procedures vary across jurisdictions and change over time, readers should consult the applicable current legislation and regulatory guidance before relying on any legal or procedural information in practice. Monetary examples use internationally understandable conventions, with local variations noted where relevant. Company names used in illustrations are hypothetical unless expressly identified as real organisations.
