Im Rahmen der Globalisierung sind Fusionen mit grenzüberschreitender Auswirkung heutzutage gängige Praxis. Häufig wirken sich Zusammenschlüsse gleichzeitig auf den europäischen und den US-amerikanischen Märk…ten aus. Infolgedessen müssen sich diese Fusionen parallelen Kontrollverfahren der Europäischen Kommission einerseits sowie der Federal Trade Commission bzw. dem Department of Justice andererseits stellen. Rechtsunsicherheit besteht für die Unternehmen solange, bis der Zusammenschluss von beiden Wettbewerbsbehà rden genehmigt worden ist. Aufruhr verursachte in dieser Hinsicht zuletzt die Untersagungsentscheidung General Electric/Honeywell der Europäischen Kommission vom 3.7.2001, die am 14.12.2005 vom Europäischen Gericht erster Instanz im Ergebnis bestätigt worden ist. Die Europäische Kommission untersagte damals den Zusammenschluss zwischen den zwei US-Konzernen General Electric und Honeywell, obwohl dieser in den USA zwei Monate zuvor unter Auflagen vom Department of Justice genehmigt worden ist. Da geplante und von den Wettbewerbsbehà rden untersagte Zusammenschlüsse mit hohen Image-, Kosten- und Zeitverlusten für die betroffenen Unternehmen verbunden sind, ist Gegenstand dieser Studie eine rechtsvergleichende Gegenüberstellung der europäischen und US-amerikanischen Fusionskontrollpraxis im Hinblick auf horizontale, vertikale und konglomerate Zusammenschlüsse. Zu Beginn der analytischen Betrachtung werden zunächst die Entwicklungen der beiden Fusionskontrollregime dargestellt. Es folgt eine rechtsvergleichende Ãbersicht der institutionellen, verfahrensrechtlichen und materiellen Unterschiede. Die Autorin untersucht insbesondere auf Basis der ersten auf der Grundlage der FKVO (2004) erlassenen Kommissionsentscheidungen die Auswirkungen des seit dem 1.5.2004 praktizierten SIEC-Tests, der den Marktberrschungstest als materielles Prüfungskriterium ersetzt hat. Ferner wird analysiert, ob der neue SIEC-Test eine Annäherung an den amerikanischen SLC-Test zur Folge hat bzw. ob durch das neue materielle Kriterium divergierende Entscheidungen der europäischen und US-amerikanischen Wettbewerbsbehà rden wie im Fall General Electric und Honeywell generell vermieden werden kà nnen.
