He therefore compares the legal frameworks of Germany and France in view of international corporate mobility and studies the ECJ-rulings concerning this question. Finally he proposes the introduction of a German rule of conflict of laws in view of corporations and the reform of EU company law.; Immer mehr Kapitalgesellschaften sind grenzüberschreitend tätig und gründen Zweigniederlassungen, fusionieren mit anderen Gesellschaften oder wechseln ihre Rechtsform. Der Autor untersucht die Möglichkeit eines grenzüberschreitenden Formwechsels und geht dabei auf die Entwicklung des Formwechsels im Kontext mit den anderen drei in Deutschland bekannten Umwandlungsarten ein. Neben den gesellschaftskollisionsrechtlichen Grundlagen für einen solchen Vorgang thematisiert der Autor dabei insbesondere die kollisionsrechtlichen Besonderheiten innerhalb der EU und des EWR durch die Rechtsprechung des EuGH. Dabei setzt sich der Autor speziell mit der isolierten Verlegung des Satzungssitzes bei gleichzeitigem Wechsel der Rechtsform und Verbleib des Verwaltungssitzes im Herkunftsstaat auseinander.
