The countries won't adopt the euro as their new currency immediately, because they first have to show that their economies have converged with the economy of the euro zone.Presently, the efforts and opinions of the new members differ about the adoption of the single currency. For instance, the Slovenian Prime Minister Janez Jansa told the press in February 2006 that there 'is nothing on the path ahead' that could endanger the euro adoption in 2007. The government pursues a tight fiscal policy to meet all entry requirements. Recently, it introduced a dual pricing - that means all prices of goods and services are marked in tolars as well as euros - to raise consumer awareness in the preparation for the euro adoption.1 Contrarily, other countries are skeptical. The leader of the Polish conservative party Jaroslaw Kaczynski said during a campaign that he 'doesn't see any benefits in adopting the euro. Euro adoption would lead to lower exports, lower national income and higher unemployment.' The Estonian Sirje Karu said in an interview, that 'Estonians are scared. We heard that when Finland adopted the euro, it took them quite a while to get used to it and prices increased. Die erste Phase des Business Combinations- Projektes ist damit abgeschlossen. Der International Financial Reporting Standard (IFRS) 3 weist grundlegende Änderungen der bilanziellen Abbildung von Unternehmenszusammenschlüssen (Business Combinations) auf. Wichtige Neuerungen gegenüber dem bisher geltenden International Accounting Standard (IAS) 22 gab es u.a. im Bezug auf die Bilanzierungsmethode sowie den Ansatz und die Bewertung von erworbenen Vermögenswerten und Schulden. 1 Die European Financial Reporting Advisory Group (EFRAG) empfahl der EU-Kommission den IFRS 3 im Rahmen des Endorsement-Verfahrens anzuerkennen. 2 Am 31.12.2004 übernimmt diese den IFRS 3 mit der Veröffentlichung der Verordnung Nr. 2236/2004 im EU-Amtsblatt.3 Von der verpflichtenden Anwendung der IAS/IFRS für kapitalmarktorientierte Konzerne in der EU ab 2005 bzw. 2007 sind nach einer Studie von PriceWaterhouseCoopers (PWC) 789 deutsche Unternehmen betroffen. 4 Im Hinblick auf die künftige Anwendung des IFRS 3, beschäftigt sich diese Arbeit mit der Frage, wie identifizierbare Vermögenswerte und Schulden im Rahmen eines Unternehmenszusammenschlusses bilanziell zu behandeln sind. Im Blickfeld stehen die Transparenz von Vorstandsbezügen und der Wechsel von ehemaligen Vorstandsmitgliedern in den Aufsichtsrat. [Vgl. Fockenbrock (Cromme-Kommission 2005), S. 14.] Der DCGK versucht mit seinen Verhaltens- und Publizitätsregeln Transparenz in der Unternehmensführung zu schaffen. Anfangs fanden die Grundsätze des Kodex keine Akzeptanz bei den Unternehmen. Seit der Diskussion um überhöhte Managergehälter, Bilanzskandale und gescheiterte New Economy Unternehmen ist das Vertrauen von Anlegern, Kunden und der Öffentlichkeit in die Unternehmen stark geschwächt. Der Kodex rückt in den Vordergrund, denn Investoren achten darauf, welche Regeln von Unternehmen eingehalten werden und von welchen diese abweichen. Die Anwendung des Kodex ist freiwillig. Nur börsennotierte Unternehmen müssen darlegen, ob sie die Empfehlungen einhalten. [Vgl. Fockenbrock (Akzeptanz des Kodex 2005), S. 11.] Ob der DCGK sowie allgemeine Corporate Governance Strukturen in jungen Technologieunternehmen (JTU) angewendet werden sollten, wird in dieser Arbeit aufgezeigt. In der Arbeit wird untersucht, ob Teile des DCGK und allgemeine Corporate Governance- Strukturen in JTU angewendet werden können. Es werden insbesondere zwei Situationen herausgearbeitet, in denen dies sinnvoll sein könnte und dadurch Vorteile generiert werden könnten. Aufgrund des Umfangs des DCGK kann auf die einzelnen Grundsätze und deren Umsetzung in JTU nicht im Detail eingegangen werden. Zunächst wird das Thema Corporate Governance behandelt und anschließend die Besonderheiten von JTU aufgezeigt. Darauf folgend soll die Anwendung der Corporate Governance in JTU dargestellt werden. Hierbei wird das Thema durch eine Befragung ausgewählter JTU aus der Praxis abgerundet.

Im Blickfeld stehen die Transparenz von Vorstandsbezügen und der Wechsel von ehemaligen Vorstandsmitgliedern in den Aufsichtsrat. [Vgl. Fockenbrock (Cromme-Kommission 2005), S. 14.] Der DCGK versucht mit seinen Verhaltens- und Publizitätsregeln Transparenz in der Unternehmensführung zu schaffen. Anfangs fanden die Grundsätze des Kodex keine Akzeptanz bei den Unternehmen. Seit der Diskussion um überhöhte Managergehälter, Bilanzskandale und gescheiterte New Economy Unternehmen ist das Vertrauen von Anlegern, Kunden und der Öffentlichkeit in die Unternehmen stark geschwächt. Der Kodex rückt in den Vordergrund, denn Investoren achten darauf, welche Regeln von Unternehmen eingehalten werden und von welchen diese abweichen. Die Anwendung des Kodex ist freiwillig. Nur börsennotierte Unternehmen müssen darlegen, ob sie die Empfehlungen einhalten. [Vgl. Fockenbrock (Akzeptanz des Kodex 2005), S. 11.] Ob der DCGK sowie allgemeine Corporate Governance Strukturen in jungen Technologieunternehmen (JTU) angewendet werden sollten, wird in dieser Arbeit aufgezeigt. In der Arbeit wird untersucht, ob Teile des DCGK und allgemeine Corporate Governance- Strukturen in JTU angewendet werden können. Es werden insbesondere zwei Situationen herausgearbeitet, in denen dies sinnvoll sein könnte und dadurch Vorteile generiert werden könnten. Aufgrund des Umfangs des DCGK kann auf die einzelnen Grundsätze und deren Umsetzung in JTU nicht im Detail eingegangen werden. Zunächst wird das Thema Corporate Governance behandelt und anschließend die Besonderheiten von JTU aufgezeigt. Darauf folgend soll die Anwendung der Corporate Governance in JTU dargestellt werden. Hierbei wird das Thema durch eine Befragung ausgewählter JTU aus der Praxis abgerundet. 32 pp. Deutsch.

Die erste Phase des Business Combinations- Projektes ist damit abgeschlossen. Der International Financial Reporting Standard (IFRS) 3 weist grundlegende Änderungen der bilanziellen Abbildung von Unternehmenszusammenschlüssen (Business Combinations) auf. Wichtige Neuerungen gegenüber dem bisher geltenden International Accounting Standard (IAS) 22 gab es u.a. im Bezug auf die Bilanzierungsmethode sowie den Ansatz und die Bewertung von erworbenen Vermögenswerten und Schulden. 1 Die European Financial Reporting Advisory Group (EFRAG) empfahl der EU-Kommission den IFRS 3 im Rahmen des Endorsement-Verfahrens anzuerkennen. 2 Am 31.12.2004 übernimmt diese den IFRS 3 mit der Veröffentlichung der Verordnung Nr. 2236/2004 im EU-Amtsblatt.3 Von der verpflichtenden Anwendung der IAS/IFRS für kapitalmarktorientierte Konzerne in der EU ab 2005 bzw. 2007 sind nach einer Studie von PriceWaterhouseCoopers (PWC) 789 deutsche Unternehmen betroffen. 4 Im Hinblick auf die künftige Anwendung des IFRS 3, beschäftigt sich diese Arbeit mit der Frage, wie identifizierbare Vermögenswerte und Schulden im Rahmen eines Unternehmenszusammenschlusses bilanziell zu behandeln sind.
