Das Phänomen räuberisch…er Aktionäre wird jedoch auch durch das ARUG nicht gelà st, sondern erfährt lediglich Akzentverschiebungen. Der Autor untersucht die Frage, ob die Neuregelungen geeignet sind, dem Problem missbräuchlicher Anfechtungsklagen von Aktionären Herr zu werden. Dabei legt er dar, dass die Bemühungen des Gesetzgebers mit dem Schwerpunkt auf die Neugestaltung des Freigabeverfahrens zu kurz greifen und lediglich an vereinzelten Symptomen des Phänomens missbräuchlicher Anfechtungsklagen ansetzen. Hierbei wird herausgearbeitet, dass die Machtbalance im aktienrechtlichen Systemgefüge auf Kosten des Minderheitenschutzes und der objektiven Legalitätskontrolle durch das ARUG empfindlich gestà rt wird, ohne dass der Missbrauch des Aktienrechts verhindert oder entscheidend eingedämmt werden kà nnte. Auf dieses Untersuchungsergebnis aufbauend wird in prozessualer Hinsicht empfohlen, ein Sperrverfahren anstelle von Registerblockade und Freigabeverfahren einzuführen sowie das Beschlussmängelrecht in konzeptioneller Hinsicht zu überarbeiten, indem Beschlussmängel neu geordnet und die Statik ihrer Rechtsfolgen beseitigt werden sollten.
