Diese zentrale Forderung von R.H. Coase (1937) gilt als Initialzündung der Transaktionskostentheoie. In seiner Abhandlung leitet Coase aus der Existenz von Transaktionskosten eine Begründung dafür her, dass es Unternehmen gibt und nicht alle zur Erstellung von Gütern notwendigen Transaktionen über den Markt abgewickelt werden. In diesem Zusammenhang stellt sich die Frage nach der optimalen Koordinationsform einer Unternehmung insbesondere, welche Teilfunktionen zur Auslagerung an spezialisierte Dienstleistungsanbieter geeignet sind und welche nicht. Die Transaktionskostentheorie als Theorie der neuen Institutionenökonomik gibt auf diese Frage eine Antwort. Ziele dieser Arbeit sind es, die Grundbegriffe und Hauptaussagen der Transaktionskostentheorie zu beschreiben und darüber hinaus zu erläutern, warum sie sich als Analyseinstrument zur Beantwortung der Frage ,Make-or-Buy' anbietet. Es soll dargestellt werden, warum es überhaupt Organisationen gibt, worin die Vorteile liegen bestimmte Arten von Transaktionen in bestimmen institutionellen Arrangements abzuwickeln und zu organisieren. Der praktischen Anwendung dieses Analyseinstruments sind jedoch Grenzen gesetzt.
